12. Governing law and disputes

12.1 This Agreement and any dispute arising out of or in connection with it are governed by the laws of the State of New York Singapore.

12.2 Any dispute shall be submitted to the exclusive jurisdiction of the courts of New York referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre under its rules for the time being in force, seated in Singapore, before a sole arbitrator, in English.

12.3 Nothing in this clause prevents either party from seeking interim relief from any court of competent jurisdiction.

Reviewer (admitted, Singapore)Arbitration seated in Singapore gives enforceable awards in the counterparty's home market under the New York Convention; a New York court judgment would not be enforceable there without fresh proceedings.
Risk and deviationLow Deviation from the standard clause: none. Counterparty has accepted SIAC in two previous agreements.

Routing

Reviewers are assigned by jurisdiction, product and conflict check. A matter touching two jurisdictions gets two reviewers and one lead.

Sign-off

The reviewer's name, admission and date are recorded on the document and in the matter. A document without that record is a workflow draft and is labelled as one.

Client view

Changes with reasons, risk markers and a plain summary of what moved. Questions go back to the reviewer in the matter, not by email.

Versions

Every version is kept. Comparisons between any two are one click.
