How it runs

  1. Intake

A questionnaire captures the constitution, financial year, directors, shareholders, banks and the decisions you expect in the coming year.

  2. First draft

The LegalMatrix workflow produces the resolutions pack and calendar from the jurisdiction's library, adapted to your constitution.

  3. Professional review

A lawyer admitted in the jurisdiction checks quorum, majority, declaration and filing mechanics against the constitution and the Companies Act, and signs off.

  4. Signature

The final set is delivered as editable templates with completion notes for each resolution.

  5. Record update

GoGoTrust loads the templates into the company's minute book and diarises the calendar in its maintenance workflow.

Questions

Are these templates or finished resolutions?

Templates adapted to your constitution, plus the recurring annual resolutions completed for the current year. Transaction-specific resolutions outside the set are quoted separately.

Can we pass resolutions by email?

Written resolutions signed electronically are valid in every covered jurisdiction for private companies, subject to the constitution. The pack includes the circulation mechanics.

Do we still need an AGM?

In most covered jurisdictions a private company may dispense with the AGM by resolution or constitution. The pack includes the dispensation route where available and the AGM pack where not.

Who files the resolutions with the registry?

Most resolutions are not filed; the resulting changes (directors, shares, constitution) are. GoGoTrust files for companies it administers; otherwise your company secretary does.

Does the pack include Japanese or Chinese versions?

For Japan and Taiwan the registry requires minutes in the local language; the pack includes bilingual templates for those jurisdictions.
