How it runs

  1. Intake

A questionnaire captures the executive's role, the award type, size, vesting and exit terms, the existing plan and constitution, and the jurisdiction.

  2. First draft

The LegalMatrix workflow produces the award agreement, resolutions and any constitutional amendments.

  3. Professional review

A lawyer admitted in the jurisdiction checks the award against company law, the existing plan and shareholders' agreement, and the tax election mechanics, and signs off.

  4. Signature

After one round of amendments, signature-ready documents are issued with a dated checklist for elections.

  5. Record update

GoGoTrust records the award on the cap table, updates the register of members for share awards and diarises vesting and election deadlines.

Signed off by
A lawyer admitted in the jurisdiction reviews and signs off the award documents before release; tax elections are the executive's decision with their own adviser.

Questions

Options or restricted shares?

Restricted shares give ownership now with forfeiture if vesting fails and may suit early-stage companies where value is low; options defer ownership and cost. Growth shares (UK) and similar instruments reward value above a hurdle. The intake call sets out the trade-offs.

What is an 83(b) or section 431 election?

A tax election by the recipient to be taxed on the value at grant rather than at vesting. The deadlines are short (30 days in the United States, 14 days in the United Kingdom). The product identifies and documents them; the executive's tax adviser decides.

Do we need shareholder approval for one grant?

Usually, because allotment authority and pre-emption disapplication are needed and shareholders' agreements typically reserve new share classes. The resolutions are included.

Can the award include a clawback?

Yes where enforceable. The clause is drafted to the jurisdiction's limits and the review note explains them.

Can the executive sign electronically?

Yes for the award agreement in every covered jurisdiction; a Hong Kong share transfer instrument is signed on paper because it must be stamped.
