What the document does
Clause summaries. The product delivers the drafted and reviewed document, not a template.
How it runs
Intake
A questionnaire captures the IP inventory, who created it, where it is registered, the target owner, the licensees and the jurisdiction. An analyst builds the schedule of rights.
First draft
The LegalMatrix workflow produces the assignment, licence, resolutions and recordal forms.
Professional review
A lawyer admitted in the jurisdiction checks the assignment formalities (deed, writing, witnessing), moral rights rules and recordal requirements, and signs off.
Signature
After one round of amendments, signature-ready documents are issued with a recordal checklist and the order of signing.
Record update
GoGoTrust records the IP in the holding company's IP register and files the recordal with the trade mark office where it administers the company.
A lawyer admitted in the jurisdiction reviews and signs off the assignment and licence before release. Trade mark recordals are filed by a registered trade mark agent or attorney where the office requires one.

Questions
Why move IP into a holding company?
It separates the asset from operating risk, simplifies licensing to subsidiaries and is what investors and acquirers expect to see. The guide on IP ownership in AI projects explains the common gaps.
Does the founder need to sign anything personally?
If the founder created code, brand or content before the company existed or outside an employment contract, yes. The founder assignment is included.
Do we need to record the assignment at the trade mark office?
Yes for registered marks. An unrecorded assignment may be ineffective against third parties and complicates enforcement. Recordal forms are included; office fees are at cost.
Can moral rights be waived?
It depends. The United Kingdom, Singapore, Hong Kong, Australia, New Zealand and Canada allow waivers or consents; civil law jurisdictions such as Japan and Taiwan allow agreements not to exercise them, and Malta follows the EU approach. The product uses the form that works in the jurisdiction.
Is the royalty rate included?
The mechanism is; the rate is a transfer pricing matter for your tax adviser, and the licence leaves it as a schedule variable.
