What the document does
Clause summaries. The product delivers the drafted and reviewed document, not a template.
How it runs
Intake
A questionnaire and a 45-minute call capture the technology, the commercial model, the counterparty, exclusivity, data flows and the jurisdiction.
First draft
The LegalMatrix workflow produces the agreement and schedules from the jurisdiction's technology clause library, from the side you specify.
Professional review
A lawyer admitted in the jurisdiction checks IP, liability, data protection and competition points (for example exclusivity and resale restrictions), and signs off.
Signature
After one round of amendments, signature-ready versions are issued with a schedule completion guide.
Record update
GoGoTrust files the executed licence in the company's contract and IP registers and diarises renewal and royalty reporting dates.
A lawyer admitted in the jurisdiction reviews and signs off the agreement before release.

Questions
Does the agreement cover AI models and training data?
Yes. The AI-specific schedule deals with permitted training, output ownership, usage restrictions and data provenance warranties, which conventional software licences omit.
Licensor-side or licensee-side?
You choose at intake. Default positions on IP ownership of improvements, warranties and liability change accordingly, and the review note explains likely pushback.
Is an infringement indemnity standard?
A licensor usually gives one for the technology as delivered, with exclusions for modifications and combinations. The scope is set at intake.
Can we include source code escrow?
The clause and release triggers are included; the escrow itself is a three-party arrangement with an escrow agent on the agent's standard terms.
What about export controls?
The agreement includes compliance obligations, but classification of the technology under export control laws is a specialist matter outside the product.
