How it runs

  2. First draft

The LegalMatrix workflow produces the three documents from the jurisdiction's clause library with your details and chosen options.

  3. Professional review

Questions

Should we use a mutual or one-way NDA?

Mutual when both sides will share information, which is most partnership and investment discussions. One-way when only you disclose, for example to a prospective supplier. The guidance note gives examples.

How long should confidentiality last?

Commonly two to five years from disclosure for ordinary information, with trade secrets protected indefinitely. The draft defaults to three years and you can change it at intake.

Is the employee form enforceable in California?

Yes for confidentiality and invention assignment, subject to the Labor Code section 2870 carve-out for inventions developed entirely on the employee's own time, which the form includes. It contains no non-compete.

Can we sign electronically?

Yes in every jurisdiction covered. NDAs are ordinary contracts with no formality requirements.

Does the NDA stop a counterparty from poaching our staff?

Not by itself. A non-solicitation clause can be added at intake where enforceable in the jurisdiction.
